IMPORTANT: This is a business working draft prepared for VIXBE LLC's website and product implementation. It should be reviewed by qualified counsel before public launch, particularly the dispute-resolution, governing-law, liability, privacy, minor-user, and jurisdiction-specific provisions.
1. Agreement to These Terms
These Terms & Conditions (the “Terms”) govern access to and use of websites, applications, registry services, VXB ID services, VIXBE Explorer, VIXBE Verified™, public artist profiles, VIXBE Vault features, and related products or services operated by VIXBE LLC (“VIXBE,” “we,” “us,” or “our”). By creating an account, purchasing or applying for a service, submitting information, or otherwise using the Services, you agree to these Terms and our Privacy Policy.
If you use the Services on behalf of an organization, label, management company, group, or other entity, you represent that you are authorized to bind that entity to these Terms.
2. What VIXBE Is
VIXBE is an identity registry for digital music artists. A qualifying artist registration may receive a permanent VXB ID and an Artist Registry record. VIXBE may also offer VIXBE Verified™, a separate trust credential involving additional identity, accountability, relationship, and official-link checks.
A VXB ID is a permanent identifier within the VIXBE namespace. It is not a government identifier, copyright registration, trademark registration, ISRC, distributor identifier, performing-rights registration, license, or determination of legal ownership.
3. What VIXBE Does Not Determine
VIXBE Registration documents an artist identity and registry history. VIXBE Verified™ documents additional checks within the scope stated by VIXBE. Neither service, by itself, proves or guarantees:
- copyright, trademark, publicity, voice, likeness, licensing, or other intellectual-property ownership or clearance;
- that every creative input, model, sample, recording, image, voice, composition, prompt, tool, or asset was legally cleared;
- authorship of a musical work or sound recording;
- the truth of every creator-declared fact beyond the checks VIXBE actually performs;
- commercial success, platform acceptance, distribution, monetization, or legal status.
4. Eligibility and Account Responsibility
You must provide accurate account information and maintain reasonable security over your credentials. You are responsible for activity conducted through your account unless prohibited by law. Shared credentials are not permitted for team access where VIXBE provides individualized team roles.
If an artist is represented as under 18, or a real minor is involved in the identity, additional safeguards, eligibility restrictions, documentation, or review may apply. VIXBE may decline or restrict registrations involving unresolved authority or child-safety concerns.
5. VIXBE Explorer
VIXBE Explorer is a preview environment. Explorer does not issue, reserve, or guarantee a VXB ID and does not create a Registry record or VIXBE credential. Any demo identifier, card, QR code, profile, or record shown in Explorer must be treated as a preview and not as a Registry credential.
6. Artist Registration and VXB IDs
Registration may collect artist identity information, artist type, genre, market, official links, release status, creation-method information, management or label relationship, and information about the accountable party.
VXB IDs are system-generated. Users may not purchase, select, trade, recycle, reassign, or modify the identifier itself. Once validly issued, a VXB ID is designed not to be reassigned or recycled within the VIXBE namespace.
Clean registrations may be issued through automated validation. Registrations that trigger integrity, duplication, authority, identity-continuity, security, real-person representation, minor, or other review conditions may be held before issuance. An automated flag is not a finding of wrongdoing.
7. Artist Registration Pricing
Artist Registration is $19 and establishes a permanent six-digit VXB ID for a validly issued registration. A validly issued VXB ID is not reassigned or recycled within the VIXBE namespace. Any future changes to pricing or additional paid services will be disclosed before purchase and will not cause a validly issued VXB ID to be reassigned or recycled.
8. Active Registry Status
A VXB ID and Active Registry Status are different. The identifier is intended to remain permanently associated with the valid Registry history; Active Registry Status may depend on renewal and compliance. Lapse, inactivity, retirement, withdrawal, suspension, or other status changes do not cause a valid VXB ID to be recycled.
9. VIXBE Verified™
VIXBE Verified™ is a separate renewable credential. VIXBE Verified™ is $49 for an eligible Registered artist and is charged only as disclosed in the applicable application or approval flow. VIXBE Verified™ renews at $19 per year. Verified renewal is separate from the artist's permanent VXB ID and any other paid service VIXBE may offer.
Applying does not guarantee approval. VIXBE may verify the accountable party, relationship to the artist, identity information, official artist links, and other stated criteria. VIXBE Verified™ does not transfer automatically when ownership, control, or the accountable party changes.
Verified status may expire, be suspended, or be revoked. A permanent VXB ID or QR code does not mean a Verified credential is permanently current.
10. Who Stands Behind This Artist
VIXBE may require the accountable party’s legal name, email address, relationship to the artist, and additional verification information. Public Registry experiences may state that VIXBE has an accountable human or organization on record without publishing private legal-name, email, authentication, or verification data unless disclosure is authorized or legally required.
11. Artist Profiles, Links, and Opportunities
Eligible Verified artists may receive a public Artist Profile containing approved public information such as artist name, VXB ID, credential status, genre, description, official music and social links, website, management or label information, release information, and opportunity/contact settings.
VIXBE does not endorse third-party destinations and does not guarantee opportunities, bookings, licensing, collaborations, streams, revenue, or responses.
12. VIXBE Vault and Artist Blueprint Materials
Private Vault features may store identity documentation, creative-stack information, artist blueprint materials, references, links, files, and registry-supporting information. The Vault is not intended to be a general-purpose cloud drive or the sole backup location for important files.
Sensitive authentication, payment, security, recovery, and human-verification data may be handled separately and may be excluded from ordinary exports.
13. User Submissions and Rights
You retain whatever rights you otherwise hold in content you submit. You grant VIXBE a limited, non-exclusive license to host, process, reproduce, format, display, transmit, and otherwise use submitted content as reasonably necessary to operate, secure, verify, document, support, and present the Services and Registry features you request.
You represent that you have sufficient authority to submit the information and materials for these purposes. This is not a representation that you own every intellectual-property right in every submitted or referenced element.
14. Real-Person Likeness, Voice, and Identity
If a digital artist intentionally represents, reproduces, impersonates, or materially derives the identifiable likeness or voice of a specific real person, VIXBE may require additional disclosure, authority documentation, distinction, or review. Similarity alone is not automatically a violation. VIXBE does not conduct a population-wide biometric or facial-recognition search as a condition of ordinary Registration.
15. Identity Changes and Continuity
Ordinary evolution of a continuing artist may remain under the same VXB ID. Material changes to foundational identity anchors may require an Identity Continuity Review. If VIXBE determines that a proposed change constitutes a replacement identity rather than evolution of the same artist, a new Registration and VXB ID may be required. The prior Registry history is not silently overwritten.
16. Duplicate Registrations and Prior Identities
Where multiple registrations materially represent the same continuing artist, the earliest validly issued VXB ID is generally treated as the Primary record. Later duplicate identifiers may be marked as resolved and linked to the Primary record. An earlier invalid or abusive registration does not gain priority merely because it was earlier.
17. Transfers, Succession, Retirement, and Withdrawal
A VXB ID follows the continuing registered artist identity, subject to VIXBE review. A change of control or accountable party may require acceptance, verification, and review. VIXBE Verified™ does not automatically transfer.
Retirement, withdrawal, death, incapacity, organizational dissolution, or loss of account access does not automatically erase or reassign the identifier. VIXBE may preserve a neutral historical Registry record consistent with law and its retention obligations.
18. Disputes and Registry Locks
A credible material dispute concerning authority, control, identity, or related Registry integrity may cause VIXBE to place a Registry Lock or other temporary restriction while reviewing the matter. A lock is not a finding of ownership, infringement, fraud, custody, or wrongdoing. VIXBE does not act as a court and does not adjudicate legal title to intellectual property.
19. Rights Concerns
A credible rights concern about a specific submitted asset does not automatically invalidate the artist, VXB ID, Registration, or Verified status. VIXBE may temporarily restrict an affected asset, request replacement or documentation, preserve the history, or route material misrepresentation to further review. VIXBE does not label an asset “rights cleared” unless it offers and actually performs a separately defined clearance service.
20. Registry Integrity, Fraud, and Abuse
No payment, customer status, account age, or registration volume overrides VIXBE’s Registry-integrity controls. Payment buys access to an applicable process; it does not buy a VXB ID, Verified approval, favorable treatment, or immunity from review.
VIXBE may use automated and manual controls to detect suspicious submission patterns, duplicates, automation, account circumvention, fabricated evidence, payment abuse, or other integrity risks. Risk signals may trigger friction or review but do not by themselves establish wrongdoing. VIXBE may withhold confidential detection methods and thresholds.
21. Security
VIXBE may require multi-factor authentication, step-up authentication, cooldown periods, recovery review, or temporary security locks for sensitive actions. If we reasonably suspect account takeover or unauthorized access, we may restrict high-risk actions while preserving the Registry history.
22. Corrections and Audit History
VIXBE may correct confirmed Registry errors while preserving an auditable history of material changes. We do not promise that every submitted statement is independently verified. Where appropriate, users may request review of a material VIXBE decision or correction.
23. External Timestamps and Evidence
VIXBE may create internal timestamps and may use independent cryptographic timestamp services for selected Registry milestones. A timestamp may support that a particular data fingerprint existed no later than a stated time; it does not prove copyright ownership, authorship, first-ever creation, legal truth, or government recognition.
Historical exports and any formal VIXBE Registry Evidence Package™ report VIXBE’s own records within the stated scope. They do not authenticate external events merely because an asset resembles a registered artist.
24. Fees, Billing, Renewals, and Taxes
You agree to pay disclosed fees and applicable taxes. Unless required by law or expressly stated otherwise, fees for completed services may be non-refundable. Failed payments, chargebacks, or non-renewal may affect paid service status, but payment disputes do not automatically establish Registry fraud or erase a valid historical identifier.
Where recurring billing is offered, VIXBE will disclose the applicable amount and renewal cadence at checkout or before renewal as required by law. You are responsible for keeping billing information current.
25. Third-Party Services
The Services may link to or integrate with third-party music platforms, social networks, identity providers, payment processors, hosting providers, analytics tools, email providers, or other services. Their terms and privacy practices govern their services. VIXBE is not responsible for third-party availability or acts outside VIXBE’s control.
26. Acceptable Use
You may not use VIXBE to impersonate another person without an appropriate basis, submit materially deceptive evidence, evade restrictions, compromise accounts, interfere with the Registry, scrape or attack the Services in violation of law or technical controls, misuse VIXBE credentials, falsely claim current Verified status, or use VIXBE branding to imply legal or governmental endorsement.
27. VIXBE Intellectual Property
The Services, software, original site content, registry presentation, documentation, and VIXBE branding are owned by or licensed to VIXBE LLC except for user-submitted or third-party materials. VIXBE, VXB ID, VIXBE Verified™, and related marks may be protected under applicable trademark law. Nothing in these Terms grants permission to misuse VIXBE branding or credentials.
28. Suspension, Restriction, and Termination
VIXBE may restrict, suspend, or terminate access or particular features when reasonably necessary for security, integrity, legal compliance, nonpayment, abuse prevention, or enforcement of these Terms. Where appropriate, VIXBE may provide notice or a review path. Registry history may be retained even when account access or publication ends.
29. Service Changes and Availability
VIXBE may improve, modify, replace, or discontinue features. “Permanent VXB ID” means an identifier designed not to be reassigned or recycled within the VIXBE namespace; it is not a guarantee that VIXBE LLC, a particular website, feature, domain, hosting provider, or user interface will operate forever.
30. Privacy
Our collection and use of personal information is described in the VIXBE Privacy Policy. Public Registry information and private account/verification information are handled differently. Do not submit sensitive information that VIXBE has not requested.
31. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” VIXBE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SUITABLE FOR EVERY LEGAL, COMMERCIAL, DISTRIBUTION, PLATFORM, OR EVIDENTIARY PURPOSE. NOTHING IN THE SERVICES CONSTITUTES LEGAL ADVICE.
32. Limitation of Liability — Counsel Review Required
Before launch, qualified counsel should establish the enforceable limitation-of-liability structure, exclusions, liability cap, treatment of consequential and indirect damages, and jurisdiction-specific carve-outs. VIXBE should not publish an improvised liability cap without legal review.
33. Indemnification — Counsel Review Required
Before launch, qualified counsel should finalize any indemnification obligations concerning user submissions, authority, misuse, third-party claims, and violations of these Terms, including appropriate procedures and jurisdictional limits.
34. Governing Law and Dispute Resolution — Counsel Review Required
VIXBE LLC should select and have counsel finalize governing law, venue, arbitration or court procedures, class-action provisions if any, small-claims treatment, notice procedures, and any required consumer opt-out mechanism before public launch. These items are intentionally not invented in this working draft.
35. Changes to These Terms
We may update these Terms. The effective date will be posted with the current version. If changes are material, we may provide additional notice as appropriate or required by law. Continued use after an updated version becomes effective constitutes acceptance where legally permitted.
